Market Purchase of Shares by the Company's Employee Share Ownership Trust

Equiniti Trust (Jersey) Limited, acting as Trustee of the TalkTalk Telecom Holdings Employee Share Ownership Trust (the "ESOT") has purchased the following ordinary shares of 0.1p each in the capital of the Company:

   --    22,428,739 shares at 74.9928p per share; and 
   --    94,095 shares at 73.2949p per share

The ESOT holds shares for the benefit of the Company's employees including satisfying when vested awards made under the Company's various employee share schemes.
