THIS NOTICE IS IMPORTANT AND REQUIRES THE IMMEDIATE ATTENTION OF THE HOLDERS OF THE ETP SECURITIES. IF ANY ETP SECURITYHOLDER IS IN ANY DOUBT AS TO THE ACTION THEY SHOULD TAKE, THEY SHOULD CONSULT THEIR OWN INDEPENDENT PROFESSIONAL ADVISERS IMMEDIATELY

If you have recently sold or otherwise transferred your entire holding(s) of ETP Securities referred to below, you should immediately forward this document to the purchaser or transferee or to the stockbroker, bank or other agent through whom the sale or transfer was effected for transmission to the purchaser or transferee.

Notice to ETP Securityholders of the Series of ETP Securities listed in the Schedule 1 hereto (the "Relevant Series")

Capitalised terms used, but not defined, in this notice shall have the meaning given thereto in the Amended and Restated Master Definitions Schedule in relation to the Leverage Shares plc collateralised exchange traded securities programme dated 17 July 2024 (the "Programme").

The Issuer wishes to inform that ETP Securityholders of the Relevant Series of the following:

1. Pursuant to the Issuer's Base Prospectus the Issuer may issue Series of ETP Securities which will have the objective of generating income to fund periodic interest payments (the "Income ETPs"). In order to facilitate the issue of the Income ETPs it was necessary to amend and restate the Master Definitions Schedule, the Portfolio Administration Agreement, the Determination Agency Agreement and the Agency Agreement (the "Relevant Agreements") and to amend the Master Trust Deed (the "Income ETP Amendments"). The Income ETP Amendments were effected by way of a deed of amendment and restatement dated 17 July 2024 (the "Deed of Amendment and Restatement").

The Relevant Agreements, as amended and restated along with the Master Trust Deed, as amended, will be available on the Issuer's website.

2. The Base Prospectus contains updated information in relation the Margin Loan Providers. Goldman Sachs & Co. LLC's appointment as a Margin Loan Provider has terminated and Morgan Stanley & Co. LLC has been appointed as an additional Margin Loan Provider to the Programme (the "Margin Loan Provider Changes"). The Master Definitions Schedule, as amended and restated by the Deed of Amendment and Restatement reflects the Margin Loan Provider Changes.
