Following the acquisition in 2003 of the companies that formed the Lomac group
of companies, it is hereby announced that, in accordance with the terms of the
Agreements by which the acquisition took place, SDL has issued, as part of the
deferred consideration, the first tranche of Ordinary Shares in SDL to the
former owners of Lomac. A total of 862,664 shares, ranking pari passu with
existing shares, are due to be issued over the next 2 years, including 287,554
shares now issued as of 18 April 2004. Application has been made for the shares
to be admitted to the Official List and simultaneously for admission to trading
on the London Stock Exchange.
