Application for Additional Listings 
Application has been made to the UK Listing Authority and the London Stock 
Exchange for 48,218 ordinary shares of 1p each in the capital of SDL PLC to be 
admitted to the Official List and admitted to trading.  These shares are issued 
as part consideration pursuant to the acquisition of Pass Process Automation 
Software Systems Engineering GmbH in 2007. 
Application has also been made to the UK Listing Authority and the London Stock 
    Exchange for a block listing totalling 500,000 ordinary shares of 1p each in 
SDL PLC.  These shares will be allotted and issued in due course upon the 
exercise of options pursuant to the Company's obligations under the SDL 
Unapproved Option Scheme 1999. 
 
These shares will rank equally with the existing issued ordinary shares of the 
Company and admission is expected to become effective and dealings to commence 
in these shares on 25 June 2010.
