    Application for Block Listing

       
    Application has been made to the UK Listing Authority and the London Stock Exchange for a block listing totalling 299,251 ordinary
shares of 1p each in SDL PLC. These shares will be allotted and issued in due course upon the exercise of options pursuant to the Company's
obligations under the schemes listed below.

    The Block listing breakdown is as follows: 

    SDL Option Scheme - 83,842
    SDL Approved Option Scheme 1999 - 215,409

    These shares will rank equally with the existing issued ordinary shares of the Company.
