                             Director Shareholding



SDL plc ("the Company") was advised that Mark Lancaster, Chairman and Chief
Executive, sold 1,000,000 ordinary shares at a price of 307p per share on 3
April 2008.


The Company was also advised that Cristina Lancaster, Chief Operating Officer,
purchased 1,000,000 ordinary shares at a price of 307.01p per share on 4 April
2008.


As a result of these transactions there has been no change to Mr & Mrs
Lancaster's combined beneficial interest in the ordinary shares of the Company.
