This announcement replaces SDL plc's 'Results of Extraordinary General Meeting
announcement released under RNS number 8400P at 11:16am on Friday 11 January
2002.

The only change is in the first sentence which reads that the date of the
Prospectus is 14 December 2001 rather than 13 December 2001.

               Results of Extraordinary General Meeting ("EGM")


Following the EGM held at 11.00 am today, SDL plc is pleased to announce that
the resolutions set out in the notice of EGM attached to the Prospectus (dated
14 December 2001) to approve the acquisition of ALPNET Inc., and to issue new
ordinary shares free of pre-emption rights in connection with a placing and
open offer of new ordinary shares in the Company ("Placing and Open Offer") to
raise approximately #7.2 million (before expenses), were unanimously passed by
the Company's shareholders.



The Placing and Open Offer will close at 3.00pm today and it is expected that
the number of new ordinary shares in the Company to be issued under the
Placing and under the Open Offer, respectively, will be announced on 14
January 2002.



Both the acquisition of ALPNET Inc. and the Placing and Open Offer are
conditional upon common shares of ALPNET Inc. representing at least 50.1% of
all such outstanding shares having been validly tendered and not withdrawn
prior to the expiration of the tender offer referred to in the Prospectus ("
Tender Offer") at midnight New York City time on Tuesday January 15, 2002. The
preliminary results of the Tender Offer are expected to be announced on 16
January 2002.



A group analyst meeting has been scheduled for Wednesday 16 January at 2pm at
the offices of Buchanan Communications, 107 Cheapside, London EC2V.
