                           SDL plc (the "Company")


Rothfuss Limited has notified the Company of a change in its interest in the
Company. The registered holder of the shares is Rothfuss Limited. The
beneficial interest in the shares vests with Floyd Bradley and immediate
members of his family (as fall within section 203 of the Companies Act 1985).

Rothfuss Limited has transferred 500,000 ordinary shares of 1p each to a
former family member, causing the total holding of Rothfuss Limited in the
company to be 3,533,243 ordinary shares representing 8 per cent. of issued
share capital.

Notification was given to the company on 14 December 2001, the transaction
having been effected on 13 December 2001.
