                            SDL plc (the "Company")


Application has been made to the UK Listing Authority and the London Stock
Exchange for admission to (i) the Official List and (ii) trading on the London
Stock Exchange's markets for listed securities in respect of 907,883 ordinary
shares of 1p each ("New Ordinary Shares").


The New Ordinary Shares, which will rank pari passu in all respects with the
existing ordinary shares in issue, represent the Deferred Shares which are being
issued in accordance with the merger agreement relating to the acquisition of
TRADOS Incorporated. It is expected that Admission will become effective and
that dealings in the New Ordinary Shares will commence on 27 July 2005.
