                                Director Dealing 
 
Pacific  Alliance China  Land Limited  ("the Company"  or "PACL")  announces the 
following  director dealing for  Pacific Alliance Real  Estate Limited ("PARE"), 
the Company's investment manager. 
 
On  28 May  2010, PARE  Trading  Limited,  a  wholly-owned  subsidiary  of  PARE 
purchased  2,590,674 of the Company's ordinary shares of US$0.01 each ("Ordinary 
Shares"), at an average price of US$0.93 per Ordinary Share. 
 
As  a  result  of  this  transaction,  PARE  is  interested  in 2,590,674 of the 
Company's  Ordinary Shares which represents  1.79% of the Company's total voting 
rights. 
 
As  a result of PARE's  interest in the Company,  Mr Chris Gradel, a director of 
the  Company, will  have an  indirect interest  in 2,590,674 Ordinary  Shares in 
addition to his direct interest of 1,087,200 Ordinary Shares.
