           Recommended Merger of Norwich Union with CGU
                                 
               Posting of shareholder documentation
                                 

Norwich Union and CGU announce that documents relating to their
proposed merger to form CGNU are today being posted to Norwich
Union and CGU shareholders. It is expected that all shareholders
will have received their documentation by 9 March.

There are separate mailings to Norwich Union shareholders, Norwich
Union Pep & ISA holders, Norwich Union Share Account holders and
employee shareholders.  These mailings contain:

-    an Information Booklet, which summarises the merger proposal
     and explains how to vote
-    a Circular providing fuller details of the merger
-    Proxy/Voting Forms and Intention to Attend and Admission
     Forms for the shareholder meetings

The mailing to CGU shareholders contains:

-    a Circular providing details of the merger and containing a
     notice convening a shareholder meeting to approve the merger and
     the proposed change of name of CGU to CGNU
-    a document comprising Summary Listing Particulars
-    a Proxy Form for CGU's shareholder meeting

Key dates & expected timetable:

Date of return for EGM Proxy/Voting Forms:
for Norwich Union shareholders -  by 11.00am on Wednesday 29 March*
for CGU shareholders -  by 2.00pm on Wednesday 29 March

Norwich Union shareholder meetings -  from 10.30 am on Friday 31 March

CGU extraordinary general meeting -  at 2.00pm on Friday 31 March

Expected date of completion of the merger -  by early June 2000


* Deadline for holders of Norwich Union shares with share
certificates and those whose shares are held through the Norwich
Union Share Account.
