Network Technology Plc

Network Technology Plc has agreed arrangements to acquire the ordinary share
capital of two companies as follows:-

1)       The whole of the share capital of Ringdale Inc, incorporated in
Texas, USA for approximately $109,000 (#66,000), satisfied by the issue of
134,372 ordinary shares of 10p each.

2)       The remaining share capital of Ringdale GmbH that it does not own,
incorporated in Germany, for approximately $135,000 (#82,000), satisfied by
the issue of 167,422 ordinary shares of 10p each.
