Announcement

The Chairman of Network Technology Plc, Klaus Bollmann, has already informed the
Company's shareholders that the Company intends to consolidate its shares by
issuing one (1) share for every 20 shares currently held.

Application has been made to the UK Listing Authority and the London Stock
Exchange to consolidate the shares so that every 20 existing Ordinary shares of
10p currently held will be replaced by 1 Ordinary share of 200p as a result of
which the 36,934,243 issued Ordinary shares of 10p each would be consolidated
into up to 1,846,712 Ordinary shares of 200p each (allowing the Directors to
deal with fractions in accordance with the Articles of Association).

A copy of the letter that was sent to each shareholder giving notice of the
Annual General Meeting and detailing the four Ordinary and two Special
Resolutions can be viewed at the Financial Services Authority document Viewing
Facility at 25 The North Colonnade, Canary Wharf, London E14 5HS.
