Placing of shares

The Board of RMS Communications plc (the "Company") is pleased to announce a
placing of 1,200,000 ordinary shares of 25p each with an institutional
investor (for itself and other investors) at an issue price of 52p per placing
share.  The placing shares represent 4.1 per cent. of the Company's existing
issued share capital.

In accordance with ABI guidelines the issue price of the placing shares was
within a five per cent. discount to the mid-market price of 54 pence per RMS
share as derived from the Daily Official List of the London Stock Exchange on
16 April 1998.

Application has been made for the shares to be admitted to the Official List
of the London Stock Exchange.  Upon admission these shares will rank pari
passu in all respects with the existing issued ordinary shares of the Company.

At the time of the listing of RMS Communications plc last year, it was
anticipated that a further fundraising would be required to cover the cost of
the on-going development programme.  Progress made to date with this
development programme has been in line with expectations and further details
will be made available when the preliminary results for the year ended 31
March 1998 are announced in June.

In the meantime, due to the expansion of the business, the Company is having
to move to larger premises.  This interim fundraising will assist both this
move and the continued development of the business, pending the above
mentioned further fundraising later this year.
