                             Report & Accounts 2004


The Report & Accounts for the year ended 31 December 2004 has been posted to
shareholders. A copy of the Report and Accounts document has also been submitted
to the UK Listing Authority. Further copies are also available on request from
the company's registered office or from the group web-site.

In summary, the Chairman's statement for 2004 highlights:

   * 'the current year has started well with the group's order books at
     higher levels than at the beginning of last year'.


   * 2004 full year results showed group turnover from continuing operations
     increased to #102.52 million from #100.76 million with pre-tax profit
     improved to #12.11 million from #12.05 million.


      - *turnover in the engineering and storage products division was
         significantly ahead of 2003 as a result of new contracts and, in
         addition, a full year's contribution from Welland Engineering Supplies
         Limited

      -  the housewares division saw the sale of The Texas Group, Inc.
         completing the exit from the USA, however, depressed consumer markets, strong
         competition and raw material prices led to a reduction in contribution

   * The directors anticipate a return to steady improvement in group
     performance whilst continuing to seek potential acquisitions that would meet
     the group's strategy.


   * The acquisition of the business of Cooper Coated Coil Limited completed
     on 17 January 2005, complements the group's existing coil coating operation
     and prepares the way for developments into new markets around the world.


   * In relation to MG Rover Group Limited and Powertrain Limited, the group
     does not at present consider that its exposure to these businesses will have
     a materially adverse effect on the results for the financial year ending 31
     December 2005.


   * The Annual General Meeting will be held on 23 May 2005 at 11.45am at
     Aston Villa Football Club, Trinity Road, Aston, Birmingham, B6 6HE.
