    Highway Insurance Group Plc ("Highway")
    Issue of Equity and Total Voting Rights


    Highway announces that, on 27 October 2008, it allotted and issued 4,449,006 new ordinary shares of 20 pence each to satisfy awards to
participants under the Highway 2005 Performance Share Plan and the Highway Executive Share Option Plan ("the Highway Share Plans"). Awards
under the Highway Share Plans vested or became exercisable following the announcement by Liverpool Victoria Insurance Company Limited
("LVIC") on 9 October 2008 that its recommended cash offer for Highway (as set out in the Offer Document posted to Highway Shareholders on
12 September 2008) had become wholly unconditional.

    All of the 4,449,006 new ordinary shares have been acquired by LVIC from participants in the Highway Share Plans in accordance with the
terms of the Offer Document. 

    Following this change, the total number of ordinary shares in issue is 208,780,674 with each share holding one voting right.
