                                INTERIM DIVIDEND

Earlier today, Honeywell Acquisitions Limited (the "Offeror") announced that the
recommended cash offers for the entire issued and to be issued ordinary share
capital (the "Ordinary Offer") and for the entire issued and to be issued
preference share capital of Novar plc ("Novar") made on 10 January 2005 by
JPMorgan plc on behalf of the Offeror had been declared unconditional in all
respects.

In accordance with the terms of the Ordinary Offer, Novar ordinary shareholders
are entitled to receive a second interim dividend of 6.60p per Novar ordinary
share. Now that the Ordinary Offer has been declared unconditional in all
respects, it is anticipated that the second interim dividend will be paid on 4
May 2005.  The record date for the second interim dividend will be 13 April 2005
and the ex dividend date will be 11 April 2005.
