Publication of Circular and Notice of EGM

FBD Holdings plc ("FBD" or "the Company") announces that it has today posted a circular ("Circular") and Notice of an Extraordinary General Meeting ("EGM") to shareholders.

The Circular sets out details of the proposed related party transaction which was announced by the Company on 24 August 2011 concerning FBD Property & Leisure Limited and Farmer Business Developments plc (a related party owning 29.7% of the voting shares of the Company). An EGM has been convened for 12 noon on 17 October 2011 at The Irish Farm Centre, Old Naas Road, Bluebell, Dublin 12, Ireland. An ordinary resolution, to give effect to the proposed transaction, will be proposed at the EGM for the approval of shareholders, other than Farmer Business Developments plc.
