 Re:- FBD Holding plc ("FBD") Disclosure under Section 91 of the Companies Act,
                                      1990





We hereby notify you in accordance with section 91 of Companies Act, 1990 that
we have today disposed of 4,500,000 ordinary shares in the capital of FBD
Holdings plc (the "Disposal") which represented 11.8 per cent of the issued
share capital of FBD Holdings plc, prior to the Disposal.



We were interested in 13,031,948 ordinary shares representing 34.14 per cent of
the issued share capital of FBD Holdings plc before the Disposal. Following this
and a share buyback and cancellation by FBD of 3,800,000 ordinary shares, we now
hold 8,531,948 ordinary shares of FBD Holdings plc which represents 24.83 per
cent of the issued share capital of FBD Holdings plc.



Accordingly, our interest in the issued share capital of FBD Holdings plc has
reduced below 25 per cent.
