DIMENSION RESOURCES LIMITED ("DIMENSION RESOURCES" OR "THE
COMPANY")

Dimension Resources announces that the resolution to reorganise
the Company's share capital was duly passed at the Extraordinary
General Meeting held today.  This resolution sub-divided each
issued ordinary share of 10p into one ordinary share of 1p and
one deferred share of 9p.  

With effect from Tuesday 4 April 2000 the issued ordinary shares
of the Company dealt in on AIM will have a nominal value of 1p
per share.
