("Ashtenne") announces that, at the Extraordinary General Meeting held earlier
today (4 May 1999), all the resolutions to approve the offer on behalf of
Ashtenne for The Cleveland Trust Plc ("Cleveland") and the exercise by Ashtenne
of its option over 28.4 per cent of the share capital of Cleveland (the
"Option") were duly passed. The first closing date of the offer for Cleveland is
3.00pm on 5 May 1999. The Board of Ashtenne announces that it intends to
exercise the Option and complete the acquisition of the 28.4 per cent stake in
