The Board of Croma is delighted to have been informed on 23 April 2004 that Mr
Ray Smith purchased a total of 3,126,000 Ordinary shares of 5 pence each in
Croma Group Plc, representing 3.4% of the issued share capital.

Mr Smith is the vendor and Managing Director of R&D Design Services Limited,
which Croma recently acquired.

John French, Chairman and Chief Executive of Croma, commented,

demonstrated in the future prospects and strategy of the Group through this
