                    RESULT OF EXTRAORDINARY GENERAL MEETING



The Board of Logica plc is pleased to announce that, at the Extraordinary
General Meeting of its shareholders held earlier today, all of the resolutions
proposed, including those to approve the merger of Logica and CMG plc, received
the overwhelming support of shareholders.

The Merger remains subject to the sanction of the CMG Scheme of Arrangement by
the Court, following which it is anticipated that the Merger will become
effective and dealings in LogicaCMG Shares will commence on both the London
Stock Exchange and Euronext Amsterdam on 30 December 2002.

Copies of the resolutions passed at the Extraordinary General Meeting will
shortly be available to the public for inspection at the UK Listing Authority's
Document Viewing Facility which is situated at: Financial Services Authority, 25
The North Colonnade, Canary Wharf, London E14 5HS (tel. no. +44 (0)20 7676 1000)
during normal business hours on any weekday (Saturdays, Sundays and public
holidays excepted) until completion of the Merger.

Terms used in this announcement shall have the same meaning as in the Listing
Particulars dated 11 November 2002 which have been despatched to both Logica
Shareholders and CMG Shareholders.
