                Transaction in Own Shares & Total Voting Rights                

The Company announces that, pursuant to its general authority by shareholders
of the Company on 20 May 2008 to make market purchases of its own shares, the
Company acquired 47,442 Ordinary shares on 20 June 2008 at an average price of
339.06 pence per Ordinary share, with the highest price of 340.00 pence and the
lowest price of 337.25 pence. The purchased shares will be cancelled.

Following the above transactions the Company now has 65,802,615 Ordinary shares
in issue, excluding shares held as treasury shares, and the number of shares
held as treasury shares is 7,114,209. Therefore the total number of voting
rights in CLS Holdings plc is 65,802,615.
