  Appointment of T J Thomson and D Baverstam as Directors of CLS Holdings plc

The appointment of Tom Thomson and Dan Baverstam as directors of CLS Holdings 
plc with effect from 5th October 2001 has already been announced.

The information required under paragraph 16.4 of the Listing Rules is as 
follows:

1.    Tom Thomson:

      i.  16.4.a - He has not held a directorship in a public quoted company at 
          any time during the previous five years

     ii.  There are no matters to disclose under paragraph 6.F.2(b) - (f)

    iii.  With regard to paragraph 6.F.2(g) the Solicitors' Disciplinary        
          Tribunal of the Law Society issued in June 1986 fined T J Thomson     
          together with the then other equity partners in the firm of solicitors
          known as Taylor Walker #1,000 for allowing a branch office of that    
          firm to be supervised by a solicitor of less than three years'        
          standing

     iv.  As at the date of his appointment he was interested in 80,705 shares  
          in the Company. In addition, he held options over 104,000 shares.

2.    Dan Baverstam:

      i.  16.4a - Dan Baverstam has been a director of Citadel Holdings Plc     
          since its incorporation in 1997. He remains a director of that company
          although it ceased to be listed in October 2000, the issued share     
          capital of Citadel Holdings having been acquired by the Company.

     ii.  There are no matters to disclose under paragraph 6.F.2(b)-(g)

    iii.  At the date of his appointment Dan Baverstam was interested in 37,332 
          shares in the Company. In addition, he had options over a further     
          165,000 shares.
