                    Extraordinary General Meeting - Results

At an Extraordinary General Meeting of the shareholders of Cedar held at 10.00
a.m. today, the resolution to approve the acquisition by Cedar of ESG and  the
other  resolutions to increase the authorised share capital and to  amend  the
share option scheme (all as set out in the notice contained in the circular to
shareholders of Cedar dated 21 September 2000) were approved.

Commenting on the outcome of the Extraordinary General Meeting, Mike Harrison,
Managing  Director of Cedar said: "We are extremely pleased by the  continuing
support  from  our shareholders for our plans for Cedar. We  are  excited  and
