Cedar Group Plc (the "Company")

Listing Application

The Company has applied for the admission to the Official
List of the London Stock Exchange for 102,480 Ordinary
Shares of 5p each.  45,500 shares were issued pursuant to
the exercise of employee share options and 56,980 shares
were issued pursuant to the acquisition agreement dated
29 September 1999 for Firman Jack Limited.

These shares will rank pari passu with the existing
issued ordinary share capital of the company and dealings
are expected to commence on 24 January 2000.
