                           Disposal of 106 Century FM

GCap Media plc ("GCap Media") announces that it has agreed to sell its 106
Century FM station to Chrysalis Radio Holdings Limited, a wholly owned
subsidiary of Chrysalis Group plc ("Chrysalis") for a cash consideration of
#29.5 million. This disposal was required by the undertakings given to the
Office of Fair Trading ("OFT") on 8 March 2005 in relation to its clearance of
the merger between Capital Radio plc and GWR Group plc. The agreement remains
conditional upon the OFT approving Chrysalis as a purchaser of 106 Century FM.

106 Century FM is a regional commercial radio station for the East Midlands,
with net assets of #0.3 million as at 30 September 2004. In the year to 30
September 2004 the station generated EBITA of #1.3 million (pre internal
recharges). The proceeds will be used in the normal course of business.
