Result of Tender Offer


The Board of Andrews Sykes Group announces that valid tenders pursuant to the
Tender Offer made by Brewin Dolphin, which closed at 5.00 p.m. on 13 September
2005, were received for 13,423,138 Ordinary Shares from 236 shareholders.

The Company also announces that the Capital Reduction, which was approved by
Shareholders at the EGM on 24 August 2005, yesterday received confirmation by
the High Court. In order to allow Andrews Sykes Group plc to complete the
acquisition of shares from Brewin Dolphin interim accounts of Andrews Sykes
Group plc for the period from 1 January 2005 to 16 September 2005 are being
prepared and will be delivered to the registrar of companies on 22 September
2005.

The repurchase of the tendered Ordinary Shares will be effected by Brewin
Dolphin on 23 September 2005.  Andrews Sykes Group will subsequently acquire for
cancellation from Brewin Dolphin, at the Tender Price of 177.5 pence, all the
Ordinary Shares purchased by Brewin Dolphin under the Tender Offer.


The consideration for the Tender Offer is expected to be despatched on or around
26 September 2005 to those Shareholders who have successfully tendered Ordinary
Shares under the Tender Offer, whether in certificated or uncertificated form.

As a result of the Ordinary Shares being repurchased for cancellation and the
Capital Reduction being confirmed by the High Court the issued share capital of
the Company is now 44,567,865 Ordinary Shares at 1p each.

Definitions used in this announcement have the same meanings given in the
circular sent to Shareholders dated 28 July 2005 setting out the formal terms
and conditions of the Tender Offer.
