Allied Leisure PLC intends to apply the provisions of section 204
of the Irish Companies Act 1963 (the "Act") to acquire
compulsorily all of the outstanding European Shares which it does
not already own on the terms of the Offer and subject to the
rights of holders of outstanding European Shares under the Act.
As stated in Merger Document dated 11 March 1999 and the Revised
Offer Document dated 25 May 1999 Allied Leisure PLC also intends
to request the cancellation of European Leisure PLC's listing on
the London and Irish Stock Exchanges.

The Offer is not being made, directly or indirectly, in or into
the United States, Canada, Australia or Japan.

Unless the context otherwise requires, the definitions contained
in the Merger Document dated 11 March 1999, the Revised Offer
Document dated 25 May 1999 and Further Circular also apply in
this announcement.

This announcement has been approved by Close Brothers Corporate
Finance Limited for the purposes of Section 57 of the Financial
Services Act 1986.

The directors of Allied accept responsibility for the information
