      ARM Holdings plc Announces Shareholders Sell 6.5 Million 
                             Shares.

     Cambridge, United Kingdom, October 14, 1998 - ARM 
Holdings plc (LSE: ARM; NASDAQ: ARMHY) today announced that 
certain of its shareholders have sold 6.5 million shares at a 
price of #8 per share.  The selling shareholders include Apple 
Computer Inc. Limited, Acorn Group PLC, certain investment 
partnerships managed by Nippon Investment & Finance Co. Ltd.  
and certain employees and management members.  Morgan Stanley 
Dean Witter acted as placement agent in connection with these 
transactions.

     The shares were not offered for sale to the public.  
Stabilization provisions are in place in accordance with the 
rules of the Financial Services Authority immediately 
following the placements.
