Explanation of Responses:
(1)	Represents shares of common stock issued to Mr. Staunton at his election in lieu of $50,000 of board member base retainer cash compensation due to Mr. Staunton for the fiscal year ending December 31, 2021. The shares of common stock vest in equal or approximately equal installments each week through the end of the December 31, 2021 fiscal year. The shares were issued at a per share price of $3.69, representing the Issuer's closing stock price on January 6, 2021 as reported on the OTCQB.
(2)	Mr. Staunton also beneficially owns 35,006 shares of restricted common stock, 742 shares of free-trading common stock, and 13,550 shares of free trading common stock subject to vesting as described in (1) above. Mr. Staunton beneficially owns 49,298 shares in total. The share amounts in this Form 4 have been adjusted to reflect the Issuer's 1-for-75 reverse stock split that became effective on December 28, 2020.
