State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

 

American Noble Gas Inc (the “Company”) is unable to complete the preparation, review and filing of its Quarterly Report on Form 10-Q for the period ended September 30, 2022 (the “Form 10-Q”) by November 15, 2022 without unreasonable effort or expense because the Company requires additional time to prepare and review its financial statements to ensure adequate disclosure of the financial information required to be included in the Form 10-Q. The Company is negotiating extensions and modifications to certain convertible notes that were outstanding during the period ended September 30, 2022 that have required additional time and review to ensure accurate reporting. The Company’s Quarterly Report on Form 10-Q will be filed on or before the 5th calendar day following the prescribed due date.
