Resume Trading:
The common shares of the Company have been halted from trading since
November 2, 2007, pending completion of a Qualifying Transaction (QT). In
conjunction with the completion of the QT, the common shares will resume
trading effective at the opening Friday, October 17, 2008.
TSX Venture Exchange has accepted for filing the Company's Qualifying
Transaction described in its Information Circular dated July 25, 2008. As
a result, at the opening Friday, October 17, 2008, the Company will no
longer be considered a Capital Pool Company. The Qualifying Transaction
includes the following:
Qualifying Transaction-Completed:
Pursuant to an arm's length arrangement agreement dated July 21, 2008, the
Company and Americas Petrogas Inc. ("API") completed a business
combination to form Americas Petrogas Inc. ("Americas"). Pursuant to the
QT, the former securityholders of the Company have received one (1) API
share for every two (2) shares of the Company held. The former
securityholders of API received 90,539,896 Americas shares for all of the
issued and outstanding securities of API at a deemed price of $0.50 per
share for a total deemed consideration of $45,269,948 of which 13,629,827
Americas shares will be subject to a TSX Venture Exchange Tier 1 Value
Security escrow agreement.
