A Merger in the S&P/TSX Composite

TORONTO, June 29, 2015 /CNW/ - S&P Dow Jones
Canadian Index Services will make the following changes in the
S&P/TSX Canadian Indices:
Shareholders of Alamos Gold Inc. (TSX:AGI) and AuRico Gold Inc.
(TSX:AUQ) have agreed to the terms of a Plan of Arrangement whereby
the companies will be merged together under the name Alamos Gold
Inc. Alamos shareholders will receive $US0.001 in cash and one share of new Alamos for
each share held. AuRico shareholders will receive 0.5046 shares of
new Alamos for each share held. The 27.9 million shares of
AuRico Gold currently held by Alamos
Gold will not be exchanged for new Alamos Gold shares.
The relative weight of Alamos Gold will increase in the
S&P/TSX Composite, Capped Composite and Composite Equal Weight,
the S&P/TSX Completion, the S&P/TSX SmallCap, the
S&P/TSX Capped Materials, the S&P/TSX Global Mining, Global
Gold and Equal Weight Global Gold and the S&P/TSX Composite
Dividend Indices after the close of trading on Friday, July 3, 2015, to reflect this share
exchange as part of the transaction. AuRico
Gold will be removed from all the above indices.
Concurrent with the above events, certain AuRico Gold assets will be spun out into a
newly-created company named AuRico Metals Inc. (TSX:AMI). S&P
Dow Jones Indices will not recognize this spinoff for index
purposes due to its de minimus nature.
