Item 5.02. Departure of Directors or Certain Officers; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

The Timken Company (the “Company”) today announced that it has designated Philip D. Fracassa, current Executive Vice President and Chief Financial Officer (principal financial officer), to also serve as the Company’s principal accounting officer in place of Shelly M. Chadwick, who notified the Company on October 28, 2020 that she will be leaving to pursue another career opportunity. Ms. Chadwick will remain with the Company until November 20, 2020.
