Item 1.01. Entry into a Material Definitive Agreement.
On April 4, 2019, Restoration Hardware, Inc., a wholly-owned subsidiary of RH, entered into a Third Amendment (the Amendment)
to the Eleventh Amended and Restated Credit Agreement, dated as of June 28, 2017, among Restoration Hardware, Inc., as lead borrower, various other subsidiaries of RH named therein as borrowers, the guarantors party thereto, the lenders party
thereto and Bank of America, N.A. as administrative agent and collateral agent (the Credit Agreement). The Amendment, among other things, (a) establishes a $120 million first in, last out term loan facility, which amount was
fully borrowed as of April 4, 2019 and which incurs interest at a rate that is 1.25% greater than the interest rate under the revolving credit facility provided for under the Credit Agreement, (b) provides for additional Permitted Indebtedness,
as defined in the Credit Agreement, that the loan parties can incur, and (c) modifies the borrowing availability parameters that apply under the Credit Agreement in certain circumstances.
