Explanation of Responses:
( 1)  On January 30, 2009, the reporting person received an award of performance-based restricted stock units (the "RSUs") under the Patriot Coal Corporation (the "Company") 2007 Long-Term Equity Incentive Plan, as amended. The grant of the RSUs was reflected in the reporting person's Section 16 report assuming the achievement of target total shareholder return ("TSR") relative to a peer group (as described in the award agreement) based on a performance period ending December 31, 2011. On January 6, 2012, the RSUs were settled in Company common stock based on the achievement of maximum TSR.
