Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On September 12, 2023, Kenneth W. Boedeker, Executive Vice President, Exploration and Production of EOG Resources, Inc. (EOG), advised EOG of his intention to begin transitioning into retirement, to be effective September 27, 2024. Effective September 12, 2023, Mr. Boedeker will remain an employee of EOG and will serve in an advisory capacity to EOG’s Chief Executive Officer, Ezra Y. Yacob, but will no longer be an executive officer of EOG.
