Item 8.01 Other Events.
On September 20, 2013, Nielsen Holdings N.V. (Nielsen) issued a press release announcing that Arbitron Inc. (the
Company) and Nielsen have reached an agreement with the Federal Trade Commission (FTC) to gain clearance for Nielsens proposed acquisition of the Company, which is now, subject to customary closing conditions, expected to close on
September 30, 2013. The FTC has issued a Decision and Order dated September 20, 2013 that embodies the agreement.
