Explanation of Responses:

(1)

The 25,000 shares represent shares of Restricted Stock granted pursuant to the P&F Industries, Inc. 2012 Stock Incentive Plan. 5,000 shares vest on each of the first five anniversaries of the date of grant so long as the reporting person is still employed by the Issuer (each such date, a "Vesting Date"); provided, however, that (A) in the event of death or termination due to disability, all unvested shares vest, (B) except as set forth in (C) below, in the event of a termination without cause, only those unvested shares scheduled to become vested on the next Vesting Date vest, and (C) in the event of a termination without cause or for good reason upon or within 24-months following a change in control of the Issuer all unvested shares vest.
