( 1)  The convertible preferred stock automatically converted into shares of MAKO Surgical Corp. common stock at the closing of the issuer's initial public offering and had no expiration date.
( 2)  The reporting person is a Managing Director of The Exxel Group, an affiliate of MK Investment Co., which owns these shares. As such, the reporting person may be deemed to be the indirect beneficial owner of the shares, but he disclaims beneficial ownership of these shares except to the extent of his pecuniary interest therein.
