Explanation of Responses:
( 1)  On December 18, 2007, Zone Venture Fund II, L.P. ("Zone Venture Fund II"), made an in-kind distribution of 470,300 shares of Common Stock of DivX, Inc, without any additional consideration to the limited and general partners of Zone Venture Fund II, including Timothy C. Draper (who holds ownership through his living trust) and Frank Creer, a director of DivX, Inc. In turn, the General Partner made an in-kind distribution of 94,174 shares it received to its members.
