Explanation of Responses:

Represents the grant of restricted stock to the Reporting Person under the Issuer's 2008 equity incentive plan, pursuant to a restricted stock award agreement dated August 16, 2013 (the "Restricted Stock Agreement"). The restricted stock will vest and the Issuer's right to reacquire the restricted stock will lapse over a 48-month period in four equal portions, with an initial vesting date on August 16, 2014, provided that the Reporting Person has been continuously a Service Provider (as defined in the Restricted Stock Agreement) from August 16, 2013 until the date such vesting occurs.
