Explanatory Note

This Amendment No. 1 on Form 8-K/A (“this Amendment”) is an amendment to the Current Report on Form 8-K originally filed by Aspira Women’s Health Inc. (the “Company”) with the Securities and Exchange Commission on February 22, 2021. This Amendment is being filed (i) to correct a typographical error and reflect the fact that Nicole Sandford was appointed to the board of directors of the Company (the “Board”) effective February 17, 2021, rather than February 17, 2021, and (ii) to reflect Ms. Sandford’s subsequent appointment to the Nominating and Governance Committee of the Board.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 17, 2021, the Board appointed Nicole Sandford as a director. At the time of her appointment to the Board, the Board appointed Ms. Sandford to the Audit Committee of the Board. On March 19, 2021, the Board appointed Ms. Sandford to serve on the Nominating and Governance Committee of the Board, effective March 19, 2021.
