(b) Director Resignation.

On January 12, 2024, Stephen C. Seltzer, MD, resigned from the Board of Directors of Uwharrie Capital Corp (the "Registrant") and its subsidiary bank, Uwharrie Bank. His resignation is not due to any disagreement with the Registrant or Uwharrie Bank or its operations, policies or practices.
