Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 13, 2023, Wayne Doiguchi notified California BanCorp (the “Company”) and its wholly-owned subsidiary, California Bank of Commerce (the “Bank”), that he will resign from the board of directors of the Company and the Bank, effective as of December 31, 2023. The decision of Mr. Doiguchi to resign was not the result of any disagreement with the Company or the Bank on any matter relating to the respective operations, policies or practices of the Company or the Bank.
