(b) On September 20, 2023, Michael Weisenhoff, Assistant Controller, resigned from such position effective September 29, 2023, to take a position with another company. The Registrant does not anticipate that Mr. Weisenhoff’s resignation will have a material impact on the Registrant’s operations.
