Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 23, 2020, John E. Klein informed the Board of Directors (the “Board”) of Energizer Holdings, Inc. (the “Company”) of his decision to retire, effective immediately. The retirement of Mr. Klein is consistent with the Board’s retirement age guideline under the Company’s Corporate Governance Principles. Mr. Klein joined the Board in July 2015 and serves on the Finance and Oversight Committee and the Audit Committee. Mr. Klein’s decision to retire from the Board was not the result of any dispute or disagreement with the Company.
