(1)	The shares of common stock represent the first tranche of 22,223 restricted stock units that were granted to Mr. Beyer on August 29, 2020 in connection with his appointment to the Issuer's board of directors, and that vested on August 29, 2020.
(2)	Each restricted stock unit represents a contingent right to receive one share of the Issuer's common stock.
(3)	The restricted stock units vest in two tranches: 22,222 units vest on August 29, 2021 and 22,222 units vest on August 29, 2022.
(4)	The restricted stock units were issued pursuant to the Issuer's 2015 Equity Incentive Plan in connection with Mr. Beyer's appointment to the Issuer's board of directors.
